Terms of Service

These Terms of Service ("Terms") govern your access to and use of the REL International Inc. wholesale online store (the "Site"), operated on the Shopify platform, including all purchases made through it. By accessing or using the Site or placing an order, you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree with these Terms, you may not access or use the Site.

1. Eligibility

This Site is intended exclusively for qualified jewelry retailers, wholesalers, and resellers ("Buyers"). You must be at least 18 years of age and authorized to act on behalf of your business to use this Site.

This is not a consumer store. The Site does not sell products to the general public.

2. Wholesale Orders

You may browse inventory and place wholesale orders through the Site's Shopify checkout. When you place an order, you must provide accurate contact, business, billing, and shipping information.

REL International Inc. reserves the right to decline or cancel any order at its sole discretion — including orders from businesses that cannot be verified, orders placed by non-wholesale buyers, or orders placed in violation of these Terms. If we cancel an order that has already been paid, we will refund the amount paid.

3. Online Checkout and Payment

Orders are placed through the Site's secure checkout, which is provided by Shopify. Card payments are processed by Shopify Payments; we do not store your full card details. We also accept payment by bank wire and Zelle; orders paid by these methods are processed once payment is received.

An order is confirmed when you receive our order confirmation. Orders are shipped to addresses in the United States only.

4. Pricing

Prices are shown on the Site and at checkout in U.S. dollars. Prices may change at any time without notice, but changes will not affect orders already confirmed. Applicable shipping charges and taxes are shown at checkout before you place your order.

5. Product Information

We make every effort to display accurate product images, specifications, weights, and availability. However, product images may vary slightly from actual merchandise due to photography, lighting, and screen display differences. Metal weights are approximate and may vary by production batch.

Availability is subject to change. In-stock status indicated on the Site is current as of the time of viewing but may change before your order is processed.

6. Orders, Shipping, and Returns

We ship within the United States only. Orders of $1,000 or more ship free by Insured Overnight Shipping. Orders under $1,000 may choose Ground Shipping for $15 or Insured Overnight Shipping for $35. All orders ship fully insured, and a signature is required on delivery.

We do not accept returns; all sales are final. Exchanges are accepted within 7 days of delivery for items in original condition (unworn, not engraved or altered); special orders are not eligible. Damaged or defective items must be reported within 48 hours of delivery and will be replaced at our cost. Full details are on the Shipping Information page and the Returns & Exchanges page.

7. Buyer Responsibilities

• You must provide accurate and current business information when placing an order.
• You must maintain a valid business license and tax registration as required by your jurisdiction.
• You may not resell products purchased from REL International Inc. in a manner that misrepresents the products or violates trademark or intellectual property laws.
• You may not use the Site for any unlawful purpose or in violation of these Terms.

8. Intellectual Property

The Site, including its design, content, logos, product photography, and text, is the property of REL International Inc. and is protected by intellectual property laws. You may not copy, reproduce, distribute, or use Site content without prior written permission, except as necessary to evaluate and purchase products through normal wholesale operations.

You may use product images and descriptions provided by REL International Inc. for the purpose of marketing and reselling the products you have purchased from us.

9. Relationship with Shopify

REL International Inc. is powered by Shopify, which enables us to provide the Site to you. Shopify is not a party to these Terms, and Shopify is not responsible for the products we sell. Your use of the checkout and payment services is also subject to Shopify's applicable terms.

10. Disclaimer of Warranties

The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied. REL International Inc. does not warrant that the Site will be uninterrupted, error-free, or secure, or that product information will always be accurate, complete, or current.

11. Limitation of Liability

To the fullest extent permitted by law, REL International Inc. and Shopify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

Our total liability arising from or related to the Site shall not exceed the total amount you have paid to REL International Inc. in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless REL International Inc., Shopify, and their officers, employees, and agents from any claims, damages, liabilities, or expenses (including attorney fees) arising from your misuse of the Site, your violation of these Terms, or your infringement of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.

14. Termination, Severability, and Entire Agreement

We may terminate your access to the Site at any time without notice; you remain liable for all amounts due up to the date of termination.

If any provision of these Terms is found unenforceable, it will be enforced to the fullest extent permitted and the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. These Terms and the policies posted on the Site are the entire agreement between you and us regarding the Site.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
